Under this department, we provide in-depth and personal services to our clients who intend to set up new companies/businesses within Malaysia and overseas as well as those who intend to sell or take over other companies/businesses, including reverse take over and merger and acquisition of companies listed on Bursa Malaysia. In the case of the latter, we will render legal advice on the compliance with the Malaysian Code on Takeover and Mergers and the rules and regulations of the Securities Commission and Bursa Malaysia.
Our services expand beyond the usual legal services of preparation of documentation to include pre-negotiation advice on the transaction and the actual negotiation for and on behalf of our clients. The former would cover giving an overall picture of the legal scenario, including advice on various options/structures of the transaction contemplated and their respective inherent weaknesses and strengths, tax planning and the preparation of pre-negotiation contract models and templates. In urgent matters, we are able to understand your needs and produce an extensive letter of offer stating out the in-principle terms and conditions within a matter of hours.
With more than 20 years in experience in the legal and corporate world and exposure to various industries, our senior partner, Ng Wymin, is able to decide on how best to procure favourable results for our clients.
Ancillary to the above, we have prepared various agreements for and on behalf of our client, including Memorandum of Understandings, Joint Venture Agreement, Subscription & Allotment Agreement, Shareholders/Partnership Agreement, Share Sale Agreement and Deed of Put/Call Option.
Other services would include various commercial areas of laws like:

We often are also appointed by our clients to evaluate their work processes and to peruse and amend their standard agreements to better improve their efficiency as we believe in pre-empting and avoiding future legal problems/disputes. In this context we advise our clients on the importance of understanding the relevant laws and its effect and consequences on our clients’ future business transactions.
