Property Conveyancing
Under this category, we specialize in handling all legal matters for property developers – from the purchase of the land to be developed to the preparation of the sale and purchase agreements and the transfer of the individual/strata titles of the properties to the respective purchasers thereof. In our endeavour to ensure that our services is total and all encompassing, we handle for our clients virtually all matters which require legal advice, including dealing with the Ministry of Housing and other authorities and the purchasers in their enquiries/complaints.
We also provide services in non-legal matters, including tax advisory matters and procurement of bridging loan and end-financing facilities. So much so we do provide project management services to first time or one-off developer.
Aside from property developers, we represent clients for the preparation of wide ranging documentation in respect of transactions related to:
- sale and purchase of residential, commercial and industrial properties, including an en-bloc purchase of a condominium project
- tenancies and leases of land, shoplots, shopping and commercial complexes and office buildings
- other real estate related transactions, including joint venture development, project management and financing of real estate.
In rendering our services in this area, we have represented clients who sold or leased their land to petroleum companies for the purposes of operating a petrol station as well as those who agreed to construct a special purpose building for onward lease to companies operating hypermarket or data centre. We further give advice on how best to structure transactions relating to property development and property investments to ensure that our clients enjoy maximum tax benefits and efficiency.
Of course our services would not be complete without ability to advise and obtain regulatory approvals from governmental authorities, including the Economic Planning Unit, Prime Minister’s Department (EPU) and the State Authority. We work hand in hand with our clients to identify the commercial objectives and develop a clear plan or strategy to complete the respective transactions as expediently possible.
Banking and Finance
Ancillary to our property conveyancing services, we provide and have extensive experience to undertake the preparation of loan documents for end financing facilities as well as other banking facilities and other financing transactions. Our expertise extends to commercial and corporate banking facilities (including amongst others trade lines and bridging facilities), share margin financing, corporate restructuring, hire purchase and factoring facilities. Speed and efficiency are the key words in undertaking loan documentation for and on behalf of banks. We are regularly appointed by our panel banks to undertake the preparation of commercial and corporate loan documentation in cases of utmost urgency.
We also constantly give legal advice and opinion to the commercial and corporate banking departments on the structuring of the facilities to be granted as well as the legal departments of the banks on which we are panel of.
Due to our close relationship with our panel banks, we often assist our clients to source and secure bridging loan, end-financing facilities and commercial and project financing facilities.
Wills, Probate, Trusts and Estate Administration
To complete our range of services under property conveyancing, we also provide advisory services in respect of wills, probate and estate administration. Our services include drafting of wills, trust deeds, powers of attorney and procurement of grants of probate and letters of administration from the High Court or the relevant land offices.
